XM Postpones Annual Meeting

Washington — XM Satellite Radio has postponed its 2008 annual meeting of stockholders that was scheduled to be held May 23.

XM will announce a new date for the meeting when it has further information relating to the timing of its pending merger with Sirius Satellite Radio.

On March 24 the U.S. Department of Justice informed XM and Sirius that it ended its investigation into the pending merger, having concluded that the merger is not anti-competitive, and that it will allow the transaction to proceed. Sirius and XM each obtained stockholder approval for the pending merger in November 2007. The pending merger is still subject, among other conditions, to approval of the Federal Communications Commission.

As a result of the later meeting date, XM will file with the SEC today an amendment to its annual report on Form 10-K to include the required information regarding its directors and executive compensation.
