Macrovision To Acquire Muze

Santa Clara, Calif. — Macrovision Solutions has signed a definitive agreement to acquire substantially all of the assists of Muze, a leader in entertainment information products and discovery services.

Macrovision said it will add Muze’s metadata tools to its own technology in the area to create larger and better search tools to help end users find entertainment content that matches their personal preferences.

“Macrovision believes that professional entertainment metadata is required for our customers to provide best in class consumer facing products,” said Fred Amoroso, president/CEO of Macrovision. “The addition of the Muze assets will complement Macrovision’s data solutions. It represents continued execution on our vision of delivering solutions that power a uniquely simple home entertainment experience.”

Macrovision said it will pay $16.5 million in cash for the Muze assets, and that the acquisition is expected to close at the end of April, subject to customary closing conditions.

Macrovision said the transaction will add approximately $5 million to its 2009 revenue estimates and will be “slightly accretive to current 2009 Adjusted Pro Forma Earnings per Share estimates.” The company now expects its 2009 revenue to range between $440 million and $480 million.

 As the full synergies of the acquisition are expected to be realized in 2010, the Company expects the transaction to contribute approximately $15 million to 2010 revenue.
